These Terms of Use (the "Terms") form a legally binding agreement between you and Orbator. They govern your access to and use of our websites, apps, product experiences, developer tools, and related online services (collectively, the "Services"). By accessing or using any part of the Services, you agree to these Terms. If you do not agree, do not use the Services.
1) Definitions
Account: The user profile registered to access the Services.
Client: A person or entity that posts work opportunities or otherwise seeks to purchase services through the Services.
Talent: A person or entity that offers or performs services or applies to opportunities through the Services.
User: Any person or entity that access or uses the Services, including Clients and Talent.
Orbator Properties: The Services and any related content, code, features, APIs, dashboards, databases, and documentation.
Products: Distinct product offerings, modules, or experiences operated by Orbator, including UNIHOUR and any successors or variants.
Applicable Law: All laws, rules, regulations, and orders applicable to a User, including without limitation the Information Technology Act, 2000 and rules thereunder, the Indian Contract Act, 1872, Consumer Protection Act, 2019 and E‑commerce Rules (if applicable), labour and tax laws, and any foreign laws that may apply based on a User’s location.
2) Eligibility & Capacity
You must be at least 18 years old and have the legal capacity to contract. If you use the Services on behalf of a company or organisation, you represent that you are authorised to bind that entity, and “you” includes that entity.
3) Account Registration & Security
3.1 Accuracy. You agree to provide true, accurate, current, and complete information and to keep it updated.
3.2 Credentials. You are responsible for maintaining the confidentiality of login credentials and for all activities under your Account.
3.3 Verification. We may require identity, business, or payment verification (e.g., KYC, GSTIN, PAN) and may refuse, suspend, or terminate Accounts where verification is not completed or fails.
3.4 Multiple Accounts. Creating or operating multiple Accounts without written permission is prohibited.
3.5 Security Events. Notify us immediately of any unauthorised access or suspected compromise of your Account or the Services.
4) Role of Orbator
4.1 Marketplace Facilitator. Orbator provides a platform that enables Clients and Talent to discover, communicate, and transact. Orbator is not a party to any contract between Clients and Talent and does not employ or engage Talent.
4.2 No Guarantee. We do not guarantee job outcomes, response times, performance, quality, or suitability of Users.
4.3 No Professional Advice. Content and tools provided by Orbator are for general informational purposes and are not legal, tax, accounting, HR, or other professional advice.
4.4 Independent Parties. Clients and Talent act as independent contractors, and nothing in these Terms creates an employment, agency, joint venture, or partnership relationship with Orbator.
5) User Conduct & Acceptable Use
You will not, and will not allow anyone else to:
(a) use the Services for unlawful purposes or in violation of Applicable Law;
(b) post false, misleading, discriminatory, obscene, defamatory, infringing, or harmful content;
(c) scrape, crawl, reverse engineer, decompile, or attempt to obtain source code or underlying data (except to the extent such restriction is prohibited by law);
(d) upload malware, ransomware, trojans, or otherwise interfere with or disrupt the Services;
(e) circumvent or disable security controls, rate limits, or access restrictions;
(f) harvest or misuse personal data, including by spam, phishing, or unsolicited marketing;
(g) misrepresent identity, qualifications, work history, or affiliations;
(h) copy, modify, frame, mirror, or create derivative works of the Services;
(i) use the Services to build a competing product; or
(j) engage in any activity that risks harm, exploitation, or harassment of others.
We may remove content, restrict features, or suspend/terminate Accounts for violations.
6) Listings, Applications, Engagements
6.1 Client Responsibilities. Clients are solely responsible for the accuracy and legality of job or project postings, including compliance with wage, work-hour, and occupational health and safety laws.
6.2 Talent Responsibilities. Talent is solely responsible for the accuracy and legality of profiles, credentials, and work product, and for complying with visa/work permit requirements, if any.
6.3 Background Checks. Unless expressly offered by Orbator and agreed to in writing, background checks, credential validation, and reference checks are solely the responsibility of the Users.
6.4 Engagement Contracts. Any engagement between Users is governed by separate terms between them (e.g., offer letters, statements of work, NDAs). Users should perform their own due diligence.
6.5 Disputes Between Users. Users will first attempt to resolve disputes directly. Orbator may (but has no obligation to) offer tools or workflows to facilitate resolution.
7) Fees, Payments, Taxes & Refunds
7.1 Payment Channels. Payments processed through the Services must use our authorised gateways or processors. We may update processors at any time.
7.2 Service Fees. We may charge fees to Clients and/or Talent for certain features or transactions. Fees, where applicable, will be disclosed at the point of use or in product‑specific terms.
7.3 Billing & Invoicing. You authorise us to issue invoices, charge cards or payment instruments on file, or debit accounts for due and payable amounts, including recurring subscriptions where enabled.
7.4 Auto‑Renewal. Subscriptions (if any) automatically renew at the then‑current rate unless cancelled in accordance with the Service’s cancellation settings prior to renewal.
7.5 Taxes & Withholding. Prices are exclusive of taxes unless stated otherwise. You are responsible for all applicable taxes (including GST, VAT, and withholding). If law requires withholding, you will gross‑up payments so Orbator receives the full amount owed.
7.6 Chargebacks. Fraudulent or improper chargebacks may result in suspension or termination. We may contest chargebacks with supporting evidence.
7.7 Refunds. Except where our Refund & Cancellation Policy expressly provides otherwise, all fees are non‑refundable.
8) Intellectual Property; User Content
8.1 Orbator IP. The Services, including all content, software, designs, trademarks, and databases, are owned by Orbator or its licensors and are protected by Applicable Law. We grant you a limited, revocable, non‑exclusive, non‑transferable licence to use the Services for their intended purpose, subject to these Terms.
8.2 User Content. You retain ownership of content you submit. You grant Orbator a worldwide, non‑exclusive, royalty‑free licence to host, store, reproduce, adapt, publish, and display such content solely to operate, improve, and provide the Services.
8.3 Feedback. If you provide ideas or suggestions, you grant Orbator a perpetual, irrevocable, worldwide, royalty‑free licence to use them without restriction or compensation.
8.4 Third‑Party Materials. Third‑party content, products, and services are subject to their own terms. Orbator is not responsible for third‑party materials.
9) Data Protection & Privacy
9.1 Privacy Policy. Our processing of personal data is described in our Privacy Policy, which is incorporated by reference.
9.2 Consents. You consent to the collection and processing of your data as described in the Privacy Policy and these Terms, including cross‑border transfers as necessary to provide the Services.
9.3 Compliance. You will comply with Applicable Law when collecting or processing personal data via the Services, including obtaining necessary consents and providing required notices to data subjects.
9.4 Security. We maintain technical and organisational measures appropriate to the risk. However, no system is perfectly secure; you use the Services at your own risk.

10) Client Logo Usage Consent
10.1 Automatic Consent. By onboarding with Orbator or using any of our Services or Products (including UNIHOUR), you grant Orbator an irrevocable, worldwide, royalty‑free licence to use your business name, trademarks, and logos (collectively, “Client Marks”) solely for the limited purpose of identifying you as a client or user of our Services in our marketing, promotional, and investor materials (including our website, social media, and case studies).
10.2 Revocation. You may withdraw this consent at any time by providing written notice to Orbator at orbatorsventures@gmail.com, after which Orbator will use reasonable efforts to remove your Client Marks from future promotional materials. Previously published materials shall not be required to be withdrawn or modified.
10.3 Representation. You represent that you have the authority to grant this licence and that use of your Client Marks as permitted above will not infringe any rights of third parties.
11) Confidentiality
If, in connection with the Services, you receive non‑public information from another User or Orbator marked or reasonably understood as confidential, you will use it solely for the permitted purpose, protect it using reasonable care, and not disclose it to third parties except as required by law.
12) Compliance, Sanctions, and Anti‑Bribery
You represent and warrant that you (a) are not subject to sanctions or prohibited party lists, and (b) will comply with anti‑corruption and anti‑bribery laws (including the Prevention of Corruption Act, 1988, and any applicable foreign laws). You will not offer or accept bribes, kickbacks, or improper payments.
13) Warranties & Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON‑INFRINGEMENT. ORBATOR DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR‑FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT CONTENT WILL BE ACCURATE OR RELIABLE.
14) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: (a) ORBATOR SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION.
15) Indemnity
You will indemnify, defend, and hold harmless Orbator and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Services; (b) your breach of these Terms or Applicable Law; (c) your User Content; or (d) disputes between you and other Users.
16) Suspension & Termination
We may suspend or terminate your Account or access to the Services (in whole or part) with or without notice if we believe you have violated these Terms, created legal exposure for Orbator or others, engaged in fraud or abuse, or for maintenance or operational reasons. Upon termination, your right to access the Services ceases, but sections that by nature should survive (including payment obligations, IP, confidentiality, disclaimers, limitations of liability, indemnity, and governing law) will survive.
17) Changes to the Services and Terms
We may modify, discontinue, or change features of the Services at any time. We may update these Terms from time to time. Changes become effective upon posting (or as otherwise stated). We will provide notice of material changes via email or in‑product notification. Your continued use of the Services after changes take effect constitutes acceptance.
18) Notices; Electronic Communications
You agree to receive notices and communications electronically, including by email and in‑product messages. Legal notices to Orbator must be sent to the address above with a copy to orbatorsventures@gmail.com.
19) Governing Law; Dispute Resolution
19.1 Governing Law. These Terms are governed by the laws of India, without regard to conflict‑of‑law principles.
19.2 Arbitration. Any dispute arising out of or relating to these Terms or the Services shall be finally resolved by arbitration under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Malappuram, Kerala. The tribunal shall consist of a sole arbitrator appointed by Orbator and the User jointly failing which, in accordance with the Act. The language shall be English.
19.3 Injunctive Relief; Courts. Notwithstanding the foregoing, either party may seek temporary or injunctive relief, or relief to enforce arbitration awards, in the courts of Malappuram, Kerala, which shall have exclusive jurisdiction for such purposes.
20) Force Majeure
Orbator shall not be liable for any delay or failure to perform due to events beyond its reasonable control, including acts of God, natural disasters, epidemics, war, terrorism, labour disputes, government actions, failures of networks or third‑party services, or power outages.
21) Product‑Specific Terms
Some Products (including UNIHOUR) may have additional terms, policies, or service‑level commitments that supplement these Terms. In case of conflict, product‑specific terms prevail to the extent of the conflict.
22) Third‑Party Services & Links
The Services may interoperate with third‑party services (e.g., payment processors, ID verification, messaging). Your use of third‑party services is governed by their terms, not ours. Orbator is not responsible for third‑party services.
23) Open Source and SDKs
If you use any SDKs, APIs, or code we make available, you must comply with any accompanying licence terms and documentation. Some components may be offered under open‑source licences; to the extent of any conflict, the open‑source terms control.
24) Communications, Reviews, and Moderation
We may allow messaging, reviews, ratings, or forums. You are responsible for your interactions and content. We may moderate, remove, or restrict content or access in our discretion but have no obligation to do so.
25) Export & Geography‑Specific Terms
You must comply with applicable export control and sanctions laws. You must not use or access the Services from regions where such use is prohibited by law. If you access the Services from outside India, you do so on your own initiative and are responsible for compliance with local laws.
26) Interpretation; Order of Precedence
Headings are for convenience only. If any provision is held invalid, the remaining provisions remain in full force. In the event of any conflict among (1) product‑specific terms, (2) these Terms, and (3) policies referenced herein, the order of precedence is as listed in this sentence.
27) Assignment & Change of Control
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms, including in connection with a merger, acquisition, or sale of assets.
28) No Waiver; No Third‑Party Beneficiaries
Failure to enforce any provision is not a waiver. No third party has rights under these Terms.
29) Entire Agreement
These Terms, the Privacy Policy, Refund & Cancellation Policy, and any product‑specific terms constitute the entire agreement between you and Orbator regarding the Services and supersede all prior or contemporaneous understandings on the subject matter.
30) Reporting Violations & Grievance Officer
To report abuse, violations, or grievances relating to the Services, contact orbatorsventures@gmail.com with the subject line “Grievance – Orbator.” We will acknowledge and address complaints within timelines required by Applicable Law.
